URBAN PLACE ACCEPTABLE INTERNET USE POLICY PLEASE READ THIS POLICY CAREFULLY. IT INCLUDES IMPORTANT TERMS THAT AFFECT YOUR RIGHTS AND YOUR ACCESS TO INTERNET PROVIDED BY THE URBAN PLACE GROUP. You are about to access the Internet through Urban Place Ltd., Urban Place G.P., Urban Place Shalom Tower – Limited Partnership and/or any other member of the Urban Place group’s (“we,” “our,” or “us”) local area network (LAN) via our Ethernet or wireless (Wi-Fi) access point (the “Service”). By accessing or using the Service, you agree to the terms this Acceptable Internet Use Policy (“Internet AUP”), which constitutes a binding agreement between you and us. We may revise the Internet AUP at any time. You are deemed to accept the current Internet AUP each time you use or access the Service, and it is your responsibility to review it for any changes each time. IF YOU DO NOT ACCEPT THIS INTERNET AUP, OR IF YOU ARE NOT 18 YEARS OF AGE OR OLDER, YOU MAY NOT USE THE SERVICE. IF YOU RECEIVED THE PASSWORD TO THE SERVICE FROM ANY PERSON WHO IS NOT EMPLOYED BY US, YOU ARE NOT ALLOWED TO ACCESS THE SERVICE. ACCESS TO THE SERVICE Generally, access to the Service is at our discretion. However, this does not mean that we can effectively block all or part of any unauthorized use of the Service, nor does it mean that we can block all attempts to use the Services in a malicious manner. Additional information about the risks related to your use of the Service can be found below. Access to the Service may be limited, blocked, suspended or terminated at any time and for any reason including, but not limited to, violation of this Internet AUP, disruption of access to other users or networks, or to otherwise protect us, our users, or other third parties. To use the Service your device has to be in the operating range of our Service access points and it has to be compatible with the Service. We do not guarantee computability of the Service with all devices. The Service is subject to unavailability, including without limitation emergencies, service failures, transmission, equipment or network problems or limitations, interference, signal strength, maintenance and repair, with or without prior notice. We are not responsible for any interruptions or performance issues with the Service. Network speed will vary based on your device configuration, location, compression, network congestion and other factors such as the bandwidth being used by the other Service’s users. You are solely responsible for any devices, software and/or other materials necessary for use of the Service, and we are not liable to any damage that may be caused to such software, devices and/or other materials as result of your use of the Service. PRIVACY & SECURITY The Service is protected by password, shared with all our clients and visitors. You acknowledge that this password is shared by us with third parties, and although we prohibit such doing, it can be also shared by our clients with additional third parties. Accordingly, you should consider the Service as such that is being furnished on “an open network” or an “open wireless network” (depending if you are connected to the Service via Wi-Fi or Ethernet). You understand that no network communication is 100 percent secure, and that wireless or Ethernet communications over LAN and in general, can be intercepted by equipment and software. Accordingly, no network communication should be considered private or protected and we urge you not to use the Service to access any service that is password protected or that contains any private or confidential information. As the owners of the Service and to the maximum extent permitted by law, we reserve the right (but it is not our obligation) to monitor, intercept and disclose any transmissions over or using the Services, and to provide use records, and related information under certain circumstances to third parties, such as response to lawful process, orders, warrants or subpoenas, or to protect the Service, our rights, property and users. PROHIBITED USES You agree not to, and are prohibited from, accessing or using (or attempting to access or use) the Services or taking any action online that violates any applicable law or regulation or that could harm us or any third party or interfere with the operation of the Services. For example, and without limitation, you may not: • upload or transmit using the Service any computer viruses, worms, spam or anything else designed to interfere with or disrupt the normal operating procedures of a computer or network, and/or any material which is defamatory, offensive, or of an obscene nature. This includes posting of pornographic or otherwise indecent or offending materials. We are the sole arbiter of what constitutes "indecent" or "offending." take any action that imposes an unreasonable or disproportionately large load on our network or infrastructure or that violates or threatens or system or network security or that of our users or any third parties, including any attempt to circumvent any restrictions imposed on your access to or use of the Services or our other websites; • conducting any "Denial of service" attacks (of any). Use of the Service (willfully or negligently) in a manner that encumbers disk space, processors, bandwidth, or other system resources so as to interfere with others' normal use of the Services or of any other systems or networks is prohibited. Attempting to knock a server off-line, slow down any connection, or knock any other user offline is prohibited. • share your IP address or ISP Internet connection with anyone; • reproduce, retransmit, disseminate, or resell the Service or authorize any other individual or entity to use the Service, whether for profit or not; • stealing, using, or disclosing someone else's passwords or identifying information without authorization; • downloading, copying or pirating software and electronic files that are copyrighted or without authorization; • sharing confidential material, trade secrets, or proprietary information of any third party; • sending or posting information that is defamatory to Urban Place, its products/services, colleagues and/or customers; • conduct any activities which violate local, state or federal statutes; • conduct any "Cracking/Hacking" activity. Example: attempting to circumvent user authentication or security of any host, network or account; • use of TCP, or UPD port scanners to scan remote networks without the express written consent of that networks' administrator is prohibited. • conduct any spamming activity. Example: sending unsolicited mass mailings of any nature, including those with an "opt-out option" for continuation. The opt-out option is inviting those who do not wish to receive more email to reply to you. • conduct any mail-bombing activity. Example: sending a large number of email messages, or singularly large email messages, to a single address in order to flood someone's mailbox. • forge any email header to obscure the originator of the message. • create or participate in pyramid schemes or chain letters. • send any type of harassing email, either by language, size, or frequency. This includes sending email or instant messages to any person who has asked explicitly that you do not. Breaching this provision may result in civil or criminal liability. We may report such breaches to relevant law enforcement authorities and co-operate with those authorities to prosecute users who violate the Internet AUP. We have the right (but it is not our obligation) to suspend or terminate your access and use of the Service and to block or remove any communications or materials transmitted through our Service. CONTENT AND THIRD PARTIES The Internet contains materials that you may find objectionable or offensive. We are not responsible or liable for, any third-party information, content, services, products, software or other material that can be accessed through the Service. You are solely responsible for evaluating the accuracy, completeness, and usefulness of all services, products and other information, and the quality and merchantability, accuracy, timeliness or delivery of such services, products and other information. You are responsible for paying any charges that you incur from third parties through your use of the Service, and your personal information may be available to third parties that you access through the Service. ADDITIONAL DISCLAIMERS; LIMITATION OF LIABILITY We are providing the Service as a free service to our clients, on an “as is” and “as available” basis. To the extent permitted by law, we disclaim all warranties and terms, express or implied, including warranties, terms or representations as to the availability, operation, security, performance and/or use of the Service, or any other materials on or accessed via the Service, or the accuracy, speed, availability or uptime of the Service, network, or data, including any warranties or terms of merchantability, fitness for a particular purpose, title, non-infringement and any implied warranties, terms or indemnification arising from course of dealing or course of performance. You waive any and all claims and rights against us and our landlord and our and its affiliates, parents, and successors and each of our and their employees, assignees, officers, agents and directors (the “UP Affiliates”) resulting from injury or damage to, or destruction, theft, or loss of, any property, data or information, to the maximum extent permitted by applicable law. None of the UP Affiliates will be liable to you under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption. You will indemnify each of the UP Affiliates from and against any and all claims, liabilities, and expenses (including reasonable attorneys’ fees), resulting from any breach of this Internet AUP by you. REPORTING Complaints regarding violations of this Internet AUP should be directed to our main office. Where possible, include details that would assist us in investigating and resolving the complaint (e.g. expanded headers and a copy of the offending transmission). GOVERNING LAWS, JURISDICTION This Internet AUP and all amendments hereto shall be governed by and construed in accordance with the laws of the State of Israel. The courts of Tel Aviv - Jaffa will have exclusive jurisdiction with respect to all matters governed by this Internet AUP and you hereby irrevocably consent to the jurisdiction of such courts.
